Business Terms and Conditions

• All prices are subject to our final Manual Confirmation. Please do NOT send any payment now.

• Prices are in USD. Price basis is FOB Hong Kong / Main Chinese ports.

• Discounts available for container load shipments.

• Delivery of not all products can be combined with each other. Please check before placing order.

• Standard Payment Terms are 30% deposit, balance by international transfer against shipment documents. D/P at Sight through Bank, Irrevocable L/C at sight, and 100% T/T payment options can be discussed and may be approved based on circumstances and experience.

Weight:

All our sales shall be on a net Shipped Weight basis or as explicitly agreed in advance.

Crop Year:

The product shall be from the latest available crop period at the time of production / packaging or as explicitly agreed in advance.

Sampling:

We arrange for a shipment sample to be taken and kept under our/supplier control for a period of up to 30 days of cargo arrival at destination or as explicitly agreed in advance.

Suitability:

All bulk packed goods are natural untreated and warranted to be fair average merchantable quality suitable for human consumption are relevant processing such as washing, re-cleaning, heat/steam treatment, sterilization, cooking and/or other processes. All retail packed products, including White Label/Private Label, are further warranted to meet destination country's regulations for pesticides, heavy metals, ETO, mycotoxins, micros and whatever else that may be explicitly pre-agreed.

Pre-Shipment Inspection Options

All goods are inspected by our nominated inspectors, including our staff, contractors and/or independent surveyors/laboratories to check product compliance with contracted specifications. Customers may, at their option, nominate at the time of contracting their own preferred inspectors too at their cost.

Shipping Costs

We supply FOB Named Sea Port in China/Hong Kong for quantities of a Pallet and above. You have to pay Ocean Freight to Port of Discharge, Import Clearance, Taxes and final inland transportation.

Available Shipping Modes

For quantities less than a pallet, we recommend Courier or Air Freight. For quantities above 5 pallets, we recommend FCL shipment.

Lead Time

For small orders (up to 500kg) with no special documentary requirements, we ship out within a week.

Larger orders or orders that require special shipping documents or lab tests normally take 30 days shipments.

Customized orders with customized quality and/or packing will take longer. Please contact by email or using contact form for more information.

Shipping Carrier

All options are available to you.

• If you wish to appoint courier, forwarder or shipping line, then you should notify and inform their contact / booking details to us as soon as possible but in any case before goods are ready for shipment.

• If you want us to appoint courier, forwarder or carrier, we will be glad to do so - their charges will be prepaid by us and added on to our invoice.

In either case, you should notify your intention at the time of order placement.

Documentation

Following are available with all deliveries:

• Invoice

• Packing List

• Shipping Photos.

• Transport Document – such as BOL / AWB.

Following are available on request

• Certificate of Origin.

• Certificate of Analysis - moisture, micros etc.

• Phytosanitary Certificate

• Fumigation Certificate (for FCL shipment)

• Health Certificate

• Copies of Pesticide Residue Certificate (one per season per origin).

• Copies of Lead, ETO and some other certificates as applicable (one per production batch)

Other documents may be available based on product and destination country.

Custom clearance, Taxes and Duties

We do Export Custom clearance and pay all export duties and taxes at our end.

You are responsible for Import Custom Clearance and all import duties and taxes at your end.

Some courier companies / forwarders offer services to do all procedures and tax/duties payment on your behalf. In such an event apart from payments required to be made to governments for taxes and duties, there could be some other out of pocket expenses as well as their service charges. These are to be discussed on a case by case basis for every delivery and every product.

Payment

You can pay to us by way of online transfer (Wire, RTGS, CHAT, FPS), L/C at sight, D/P at sight, cheque, demand draft all payable at Hong Kong. Yes, you can change payment method until you may actually sent out the payment

Returns

Yes you can - no questions asked subject to following conditions

• Shipping Charges are not refunded.

• Return back at your cost.

If on the other hand entire delivery is returned back due to inherent defect in the product, then we will bear shipping charges too.

However, do keep in mind that damage can occur during transit too due to accidents, and other events beyond our control. You are advised to cover insurance for value of goods on your own or by paying to us extra insurance premium.

Refunds will be made upon receipt of goods.

Claims:

Should defective quality or sweating be found in containers on opening, no later than 15 days after vessel arrival at port of destination, buyers should notify sellers immediately upon knowing, and arrange for independent survey. If defect is linked to faults on our part, we shall suitably reimburse buyers for their losses or take back cargo as may be appropriate.

Applicable provisions and disputes:

Unless otherwise agreed at the time of contracting, our sales shall be subject to IGPA (International General Produce Association Ltd., London) standard shipping terms. Failing amicable settlement by the parties, any disputes shall be referred to arbitration in accordance with the IGPA Rules of Arbitration. However, any emergency or protective procedure may be validly referred to the Hong Kong courts having jurisdiction. Failing any specific clause, any sales not subject to IGPA contract terms shall be governed by Hong Kong law, and any disputes resulting therefrom shall be referred to the Hong Kong courts having jurisdiction.

Force Majeure

The seller shall not be held responsible for any failure to perform any of its obligation if the Seller can provide evidence that such failure to perform is due to a cause beyond its control, which it could not reasonably expect when it contracted with the Buyer, and that it could neither prevent nor reasonably overcome. The Seller shall give notice thereof to the Buyer by any appropriate means.
